Selling A Business: An Outline of the ProForma West Selling Process

Step 1  
A confidential, in-person meeting is held to gain an understanding of your business and your objectives for a successful exit. There is no cost or obligation to you for this initial meeting and review.

Step 2  
Once retained, we will perform a Market Value Assessment of your company to ensure a comprehensive understanding of the factors that drive the value of your company and to provide an objective basis for evaluating offers when they are tendered.

Step 3  
We craft the professional presentation today’s more sophisticated buyers require when evaluating a business opportunity. At a minimum, this will include an in-depth financial analysis and summary, a one-page Confidential Business Opportunity sheet, and a comprehensive Confidential Business Review. Our goal is to highlight the essential elements of your business in a compelling and professional manner that inspires additional interest.

Step 4  
A local, regional, national and possibly international marketing plan that is appropriate for your business is developed and implemented to locate a qualified buyer that will offer the best possible combination of price and terms for your business.

Step 5  
Plant tours and initial meetings between buyers and client are arranged.

Step 6  
ProForma West manages offers and the negotiation process, and also develops a final Purchase and Sale Agreement in conjunction with both the buyer’s and seller’s legal counsel.

Step 7  
Working with all the parties involved, including the escrow attorney, ProForma West manages the deal to a successful closing!
